{"id":45976,"date":"2025-03-25T15:37:13","date_gmt":"2025-03-25T15:37:13","guid":{"rendered":"https:\/\/firmusadvisory.com\/?p=45976"},"modified":"2025-03-25T15:37:13","modified_gmt":"2025-03-25T15:37:13","slug":"technology-transfer-agreement-tta-in-ghana-all-you-need-to-know","status":"publish","type":"post","link":"https:\/\/firmusadvisory.com\/de\/technology-transfer-agreement-tta-in-ghana-all-you-need-to-know\/","title":{"rendered":"Technology Transfer Agreement (TTA) in Ghana \u2013 All You Need to Know"},"content":{"rendered":"<p>A Technology Transfer Agreement (TTA) is a legally binding contract between a Ghanaian company (Transferee) and a foreign entity (Transferor) lasting for not less than eighteen (18) months which involves:<\/p>\n<ol>\n<li>The transfer, sale, or licensing of <strong>industrial property<\/strong> (except trademarks, unless they are part of the technology being transferred).<\/li>\n<li>The provision of <strong>technical expertise<\/strong>, including feasibility studies, designs, training, and advisory services.<\/li>\n<li>The provision of <strong>technological knowledge<\/strong> needed to <strong>install, operate, and manage<\/strong> equipment, plants, and turnkey projects; and<\/li>\n<li>The provision of <strong>technological knowledge<\/strong> on using <strong>machinery, raw materials, or intermediate goods<\/strong> obtained through purchase, lease, or other means.<\/li>\n<\/ol>\n<p>TTAs do not cover the sale of goods; instead, they focus on services that enhance industrial and commercial capabilities.<\/p>\n<h2>Legal Framework Governing TTAs in Ghana<\/h2>\n<p>TTAs in Ghana are primarily regulated by:<\/p>\n<ol>\n<li>Ghana Investment Promotion Centre <a href=\"http:\/\/www.gipc.gov.gh\">(GIPC)<\/a> Act, 2013 (Act 865) \u2013 This mandates the registration of TTAs with the GIPC.<\/li>\n<li>Technology Transfer Regulations, 1992 (L.I. 1547) \u2013 This regulates the registration of TTAs.<\/li>\n<\/ol>\n<p>According to Section 37 of the GIPC Act, every TTA must be registered with the GIPC. The GIPC is responsible for:<\/p>\n<ol>\n<li>Reviewing submitted TTAs.<\/li>\n<li>Registering TTAs<\/li>\n<li>Monitoring and ensuring compliance with the terms and conditions of TTAs.<\/li>\n<\/ol>\n<h2>Some Mandatory Requirements for TTA Registration<\/h2>\n<p>For a TTA to be registered and enforceable, it must meet certain specific requirements. These include:<\/p>\n<ol>\n<li>Services provided must not be readily available in Ghana.<\/li>\n<li>The governing law must be the laws of Ghana.<\/li>\n<li>Training of local personnel is mandatory.<\/li>\n<li>Taxes on royalties are to be paid by the Transferor (foreign company).<\/li>\n<li>Fees payable are subject to thresholds set by the GIPC.<\/li>\n<li>TTAs cannot include certain unfair restrictions such as:\n<ol>\n<li>Requiring the local company to buy all inputs exclusively from the foreign transferor.<\/li>\n<li>Imposing unnecessary royalty payments after industrial property rights expiration, termination or invalidation.<\/li>\n<li>Prohibiting the local company from improving or modifying the technology.<\/li>\n<\/ol>\n<\/li>\n<li>The duration of the TTA should not be more than ten (10) years. While it is generally estimated at 4-6 weeks, in reality, it may take several months, depending on the complexity of the agreement and the consultants involved. Upon expiration, the agreement may be renewed if the parties can justify the continued need for the technology transfer. The renewal process requires:<\/p>\n<ol>\n<li>All documents required for TTA registration<\/li>\n<li>Proof of the provision of the service(s) under the previous Agreement.<\/li>\n<li>Written confirmation from certified auditors that fees transferred by the Transferee to the Transferor under the registered Agreement for the period were compliant with provisions of the Technology Transfer Agreement.<\/li>\n<li>Certified Audited Financial Statements covering the duration of the Agreement<\/li>\n<li>Technology adopted or assimilated by the Transferee under the previous Agreement<\/li>\n<li>Challenges to full assimilation of the technology and the estimated period it will take the Transferee to completely assimilate the technology.<\/li>\n<li>Justification for the renewal of the Agreement.<\/li>\n<li>Training programmes organized for personnel of the Transferee under the previous Agreement.<\/li>\n<\/ol>\n<h2>Consequences of non-registration<\/h2>\n<p>Failure to register a TTA with the GIPC has legal and financial consequences, including:<\/p>\n<ol>\n<li>Unenforceability of the agreement.<\/li>\n<li>Inability to transfer fees to the foreign company under the agreement.<\/li>\n<li>Legal penalties, including fines and possible restrictions on business operations.<\/li>\n<\/ol>\n<h2>Some benefits of TTA Registration<\/h2>\n<ol>\n<li><strong>Corporate tax benefit<\/strong>: Payments made under a registered TTA (e.g., royalties, technical service fees, management fees) may be tax-deductible expenses for the local company. This can reduce the company\u2019s taxable income, lowering its corporate tax liability.<\/li>\n<li><strong>Withholding tax benefit<\/strong>: Registered TTAs can qualify for reduced withholding tax rates under Ghana\u2019s double taxation agreements (DTAs).
