What About Stamp Duty and Annual Returns?
Two costs are easy to overlook when budgeting for registration:
- Stamp duty applies only to companies with share capital, at 1% of the stated capital. It’s generally paid once at incorporation, though additional stamp duty applies if the company later increases its stated capital.
- Annual returns are a recurring requirement. Your first annual return is filed within 18 months of incorporation, and then every year after that. The current filing fee for companies is GHS 175. File on time: ORC imposes penalties of GHS 1,000 on entities in default for one to four years, and GHS 2,000 for those in default five years or more, on top of the filing fees — and continued non-compliance can ultimately get a company struck off the register.
Other Post-Incorporation Compliance and Sector Licences
Registering with the ORC doesn’t mean every compliance requirement is met. Once registered, a business may still need to satisfy tax, employment, local-authority and industry-specific requirements before it can legally operate. The main ones:
- Ghana Revenue Authority (GRA) tax registration. Businesses generally must register with the GRA and meet their tax obligations, including filing returns and paying taxes.
- Business operating permit. You may need a permit from the Metropolitan, Municipal or District Assembly (MMDA) where you operate, allowing you to carry on business within that local jurisdiction.
- SSNIT registration. Businesses that employ workers must register with the Social Security and National Insurance Trust (SSNIT) and make the required contributions for their employees.
- Data protection registration. Businesses that collect, store or process personal data may need to register with the Data Protection Commission and comply with its requirements.
- FDA licensing. Businesses dealing in food, drugs, cosmetics and certain health-related products may need registration or approval from the Food and Drugs Authority (FDA) before operating or placing products on the market.
- Environmental permits. Businesses whose activities may affect the environment may need permits or approvals from the Environmental Protection Agency (EPA).
- Sector-specific licences. Some industries need extra regulatory approval — financial institutions from the Bank of Ghana, telecoms from the National Communications Authority (NCA), and mining businesses from the Minerals Commission.
